The following website Terms and Conditions govern all use of the AutoAppointment website and all content, services, and products available at or through the website. The Website is owned and operated by Elite Growth Tech Sdn Bhd (1033546-X), a company incorporated in Malaysia, with its business located at KawanElite@SIDEC E-28, City Park, 1, Jalan Multimedia 7/Ag, I-city, 40000 Shah Alam, Selangor, Malaysia.
The Website is offered subject to your acceptance without modification of all of the Terms and Conditions contained herein and all other operating rules, policies, and procedures that may be published from time to time on this Site by AutoAppointment (collectively, the “Agreement”).
Please read this website terms agreement carefully before accessing or using the Website. By accessing or using any part of the web site, you agree to become bound by the Terms and Conditions (T&C) of this agreement. If you do not agree to all the Terms and Conditions of this website maintenance agreement, then you may not access the Website or use any services. If these Terms and Conditions are considered an offer by AutoAppointment, acceptance is expressly limited to these terms. The materials contained in this web site are protected by applicable copyright and trademark law.
Description of Service
AutoAppointment provides users with access to a collection of resources, including various tools, training materials, and educational content through its network of properties which may be accessed through any medium or device now known or hereafter developed (the “Service”). You also understand and agree that the Service may include advertisements and that these advertisements are necessary for AutoAppointment to provide the Service. You also understand and agree that the Service may include certain communications from AutoAppointment, such as service announcements, administrative messages, and newsletter(s), and that these communications are considered part of your membership. Unless explicitly stated otherwise, any new features that augment or enhance the current Service, including the release of new AutoAppointment properties, shall be subject to the TOS. You understand and agree that the Service is provided “AS-IS” and that AutoAppointment assumes no responsibility for the timeliness, deletion, mis-delivery, or failure to store any user communications or personalization settings. You are responsible for obtaining access to the Service, and that access may involve third-party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the Service.
Your Registration Obligations
In consideration of your use of the Service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the Malaysia or other applicable jurisdiction. You also agree to:
(a) provide true, accurate, current, and complete information about yourself as prompted by the Service’s registration form (the “Registration Data”)
(b) also maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or AutoAppointment has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, AutoAppointment as the right to suspend or terminate your account and refuse any and all current or future use of the Service.
Member Account, Password, and Security
You will create a password and account designation upon completing the Service’s registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to
(a) immediately notify AutoAppointment of any unauthorized use of your password or account or any other breach of security.
(b) ensure that you exit from your account at the end of each session. AutoAppointment cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 4.
Payment and Renewal
By selecting a product or service, you agree to pay AutoAppointment the one-time setup fees and/or monthly or annual subscription fees indicated (additional payment terms may be included in other communications) as described in our pricing page. Subscription payments will be charged on a pre-pay basis on the day you sign up for an Upgrade and will cover the use of that service for a monthly or annual subscription period as indicated. Payments are not refundable.
Renewal or Cancellation
Unless you notify AutoAppointment before the end of the applicable subscription period that you want to cancel a subscription, your subscription will automatically renew and you authorize us to collect the then-applicable annual or monthly subscription fee for such subscription (as well as any taxes) using any credit card or other payment mechanism we have on record for you.
Subscriptions can be canceled at any time by reaching out to our support team via email to firstname.lastname@example.org. Cancellation will be effective immediately. Please note that after you cancel your account, you may not be able to use or access the Platform and you will not be entitled to a refund of any fees that you’ve paid.
By signing up for a membership account you agree to pay AutoAppointment the applicable setup fees and recurring fees. Applicable fees will be invoiced starting from the day your services are established and in advance of using such services. AutoAppointment reserves the right to change the payment terms and fees upon thirty (30) days prior written notice to you. Services can be cancelled by you at any time by clicking the link on your Profile page or submitting email notice to AutoAppointment at email@example.com.
All subscriptions include access to support via email. “Support” means the ability to make requests for technical support assistance via email at any time (with reasonable efforts by AutoAppointment to respond within 1-2 business days) concerning the use of the AutoAppointment Services. All support will be provided in accordance with AutoAppointment standard services practices, procedures, and policies.
We invite you to use these Services for your individual purposes and not for the purposes of reselling (“Permitted Purposes”) – enjoy!
Subject to these Terms, we grant you a limited, personal, non-exclusive and non-transferable license to use and to display the Documentation and a limited, personal, non-exclusive and non-transferable right to access and use the Service following the set-up of a Free Account or Paid Account. You have no other rights in the Service and shall not use the Services for any purposes beyond the scope of the access granted in this Agreement. Customer shall not at any time, directly or indirectly, and to the extent Customer is a company or other organization, shall not permit any Authorized Users to: (i) copy, modify, or create derivative works of the Services or Documentation, in whole or in part; (ii) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services or Documentation; (iii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Services, in whole or in part; (iv) remove any proprietary notices from the Services or Documentation; or (v) knowingly use the Services or Documentation in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law. If you make copies of any portion of this Website while engaging in Permitted Purposes then you agree to keep on these copies all of our copyright and other proprietary notices as they appear on this Website.
Subject to these Terms, we also grant you a limited, personal, non-exclusive, non-transferable license to download, install and operate any plug-ins, software, information, or other content that we may have specifically identified within the Website as available for download solely in connection with accessing the Website, including, but not limited to, relevant AutoAppointment browser extensions (“Downloadable Tools”). Such Downloadable Tools are also subject to the additional terms provided to you upon download, including without limitation our End User License Agreement.
By registering for a AutoAppointment account, you state that you are at least 18 years of age, and you are responsible for ensuring that all AutoAppointment Users and Invitees are at least 13 years old. Creating an account with false information is a violation of our Terms, including creating an account on behalf of others or persons under the age of 18.
To be clear, we authorize your use of these Services only for Permitted Purposes. Any other use of these Services beyond the Permitted Purposes is prohibited and, therefore, constitutes unauthorized use which may result in the violation of various Malaysia and international copyright laws, the deletion of your AutoAppointment account, or a block from the Services. Unless you have written permission from us stating otherwise, you are not authorized to use these Services in any of the following ways. (Note that these are examples only, and the list below is not a complete list of everything that you are not permitted to do):
You are not allowed to use the Services:
- To create a competing product, resell or broker the Services to any third-party;
- In a manner that modifies, publicly displays, publicly performs, reproduces, or distributes any of the Services;
- In a manner that violates any relevant law or the Terms of this Agreement, including but not limited to anything that is illegal in the jurisdiction where the User, Invitee and/or Authorized User is located;
- To stalk, harass, spam, or harm another individual, organization, or business;
- To disclose information that you do not have permission to disclose;
- To impersonate any person or entity, misstate your Personal Data, or otherwise misrepresent your affiliation with a person or entity;
- To interfere with or disrupt the Services or servers or networks connected to the Services;
- To use any data mining, robots, or similar data gathering or extraction methods in connection with the Services;
- To disseminate any viruses, worms, or otherwise harmful code; or
- To attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services, whether through hacking, password mining, or any other means;
- To submit or store Payment Card Industry data (such as credit card numbers) without using an authorized AutoAppointment payment integration;
- To disclose or collect any types of information considered to be protected classification characteristics under Malaysia or other relevant law, including Age (if 40 years or older), race, color, ancestry, national origin, citizenship, religion or creed, marital status, medical condition, physical or mental disability, sex (including gender, gender identity, gender expression, pregnancy or childbirth, and related medical conditions), sexual orientation, veteran or military status, and genetic information (including familial genetic information); and
You alone are responsible for any violation of these Terms by you. You agree to indemnify and hold AutoAppointment, its parents, subsidiaries, affiliates, officers, agents, employees, resellers or other partners, and licensors harmless from any claim, demand, loss, or damages, including reasonable attorneys’ fees (“Losses”), resulting from any third-party claim, suit, action, or proceeding (“Third-Party Claim”) that the Customer Data, or the use thereof in accordance with this Agreement, infringes or misappropriates such third party’s intellectual property rights or violates any applicable law or regulation and any Third-Party Claims based on Customer’s or any Authorized Users’ (i) negligence or willful misconduct; (ii) use of the Services in a manner not authorized by this Agreement; (iii) use of the Services in combination with data, software, hardware, equipment, or technology not provided by AutoAppointment or authorized by AutoAppointment in writing; or (iv) modifications to the Services not made by AutoAppointment, provided that Customer may not settle any Third-Party Claim against AutoAppointment unless AutoAppointment consents to such settlement, and further provided that AutoAppointment will have the right, at its option, to defend itself against any such Third-Party Claim or to participate in the defense thereof by counsel of its own choice.
The materials on AutoAppointment’s web site are provided “as is”. AutoAppointment makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, AutoAppointment does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.
Limitation of Liability
AUTOAPPOINTMENT WILL NOT BE LIABLE TO YOU OR OTHERS FOR ANY DAMAGES RESULTING FROM YOUR USE OF THE SERVICES OR YOUR DISPLAYING, COPYING, OR DOWNLOADING ANY DOCUMENTATION TO OR FROM THE WEBSITE. IN NO EVENT WILL AUTOAPPOINTMENT BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, FOR ANY: (a) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES; (b) INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS; (c) LOSS OF GOODWILL OR REPUTATION; (d) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY, OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY; OR (e) COST OF REPLACEMENT GOODS OR SERVICES, IN EACH CASE REGARDLESS OF WHETHER AUTOAPPOINTMENT WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE.
IN NO EVENT WILL AUTOAPPOINTMENT’S AGGREGATE LIABILITY OR AUTOAPPOINTMENT’S INDEMNIFICATION OBLIGATIONS ARISING OUT OF OR RELATED TO THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE EXCEED THE GREATER OF (I) THE AMOUNT PAID, IF ANY, BY YOU TO AUTOAPPOINTMENT IN CONNECTION WITH THESE TERMS IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY OR (II) RM 100.00.
THIS LIMITATION OF LIABILITY IS PART OF THE BASIS OF THE AGREEMENT BETWEEN YOU AND AUTOAPPOINTMENT AND SHALL APPLY TO ALL CLAIMS OF LIABILITY, EVEN IF AUTOAPPOINTMENT HAS BEEN TOLD OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF THESE REMEDIES FAIL THEIR ESSENTIAL PURPOSE.
AutoAppointment has not reviewed all of the sites linked to its Internet web site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by AutoAppointment of the site. Use of any such linked website is at the user’s own risk.
These terms and condistions shall be governed by the laws of Malaysia. You agree to submit to the non-exclusive jurisdiction of the Court of Malaysia.
